Terms and Conditions
	To be an authorized affiliate of wedotranslation inc. dba CILFO Translations, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the CILFO Translations service as an affiliate. By signing up for the CILFO Translations affiliate program, you indicate your acceptance of this agreement and its terms and conditions. This Agreement contains the complete Terms and Conditions that apply to an individual or company's participation in the wedotranslation inc. Affiliate Program (the "Program"). As used in this Agreement, "we" means wedotranslation inc., "you" means the applicant, and "services" means online translation services offered by wedotranslation inc. "Site" means a World Wide Web site and, depending on the context, refers either to wedotranslation inc.'s site or to the site that you will link to our site. "Link" means an HTML form or link provided by wedotranslation inc. which directs the customer's web browser to our site. 1. JOINING THE PROGRAM To join the program, you are required to complete our affiliate registration process. You can add links to us immediately after you have completed the registration. wedotranslation inc. reserves the right to reject any application to join the Affiliate Program. The wedotranslation inc. Affiliate Program is open to almost anyone with the exception of employees of wedotranslation inc., and websites that promote or contain illegal or pornographic material/activities or websites that contravene the wedotranslation inc. prohibited content policies. 2. LINKING TO wedotranslation inc. (CILFOtranslations.com) We will provide access to a link generator. If you would like to modify these links or create your own links, please contact us to discuss. 3. COMMISSION Subject to the Terms and Conditions of this Agreement, you will be paid commission for each completed order referred from your site through the wedotranslation inc. link. If a customer's purchase is refunded either directly by wedotranslation inc. or through credit card charge-backs made to wedotranslation inc.'s bank account, we retain the right to withhold any payments to you resulting from the transaction being cancelled. 4. COMMISSION SCHEDULE You will earn commission based on a predetermined percentage of the gross profit revenue after sales tax received by wedotranslation inc. from completed orders placed within ninety days of being referred from your site, unless subsequently referred from another affiliate's site. You will not to receive commission on your own orders or orders where the customer uses a promotional code that has been issued outside the scope of this agreement. In order to associate an order with an affiliate we utilize cookies. The online referred sales rate of commission is 8% of gross sales for the first twelve months of sales volume transacted, unless otherwise agreed. Residual commissions may also apply. 5. COMMISSION PAYMENT Subject to the Terms and Conditions of this Agreement, you will be paid the commission quarterly (every three months) provided that the commission owed is more than US$25.00. Payment will be made during the month after the quarter that the transaction was completed, in US dollars. 6. POLICIES AND PRICING Customers purchasing services from wedotranslation inc. through this Program will be deemed to be customers of wedotranslation inc. Accordingly, all wedotranslation inc. Terms of Service concerning the services shall apply to those customers. We may change our Terms of Service at any time. For additional information please refer to our standard Terms of Service. 7. LIMITED LICENSE We grant you a non-exclusive, non-transferable, non-sub licensable, revocable right to use the wedotranslation inc. logos and text for which we grant express permission, solely for the purpose of identifying your site as a wedotranslation inc. Affiliate Program participant. You may not modify the message or any of our images or trademarks in any way. We reserve all of our rights in the message, any other images, our trade names and trademarks, and all other intellectual property rights. Except as provided herein you agree that you have no rights, title or interest in or to the message or other images, trademark or trade names provided to you by wedotranslation inc. and all uses of such materials by you will enure to the benefit of wedotranslation inc. You agree not to apply for registration of any of the wedotranslation inc. trademarks, service marks or trade names (or any mark similar there to) anywhere around the world. You agree that you will not engage, participate or otherwise become involved in any activity or course of action that diminishes and/or tarnishes the image and or reputation of wedotranslation inc. or its trademarks. We may revoke your license at any time by giving you written notice. 8. RESPONSIBILITY FOR YOUR SITE You will be solely responsible for the development, operation, and maintenance of your site. The banners provided by wedotranslation inc. are hosted on our servers and will not affect the performance of your site. We reserve the right to update these banners at any time and without notice. 9. TERM OF THE AGREEMENT The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written or e-mailed notice of termination. You are only eligible to earn commission on translation services occurring during the term of this Agreement only. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. Your site is subject to periodic review. If we determine at any point after acceptance into our Program that your site is not suitable for the Program, we may unilaterally end the status of your site as an affiliate. We may terminate your account: (a) if you violate our Affiliate Terms of Service; (b) if you violate our Prohibited Content Policy; (c) if you promote in a manner that is unethical or inappropriate; or (d) for any reason, in our sole discretion. YOUR SERVICE WILL BE TERMINATED IMMEDIATELY AND WITHOUT WARNING SHOULD YOU USE OUR SYSTEM AS PART OF ANY BULK EMAIL CAMPAIGN. You may also be subject to fines and legal actions as a result of your bulk email promotion. 10. MODIFICATION We may modify any of the Terms and Conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures, and Program rules. Your continued participation now, or within thirty (30) days following the posting notice of any changes in these Terms and Conditions, will constitute a binding acceptance by you of such rules, changes or modifications. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. 11. RELATIONSHIP OF PARTIES You and we are independent contractors, and nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You shall have no authority to make or accept any offers or representations on our behalf. You shall not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. 12. LIMITATION OF LIABILITY WE SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM OR THE REGISTRATION OF DOMAIN NAMES BY CUSTOMERS REFERRED TO US BY YOU, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM SHALL NOT EXCEED THE TOTAL REFERRAL FEES PAID TO YOU OR PAYABLE TO YOU UNDER TO THIS AGREEMENT. 13. DISCLAIMERS WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE PROGRAM OR ANY SERVICES MADE AVAILABLE THROUGH THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE OR THE AVAILABILITY OF OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS. We shall not be liable for any damages suffered by you, whether indirect, special, incidental, exemplary, or consequential, including, but not limited to, loss of data or service interruptions, regardless of cause or fault. We are not responsible for your lost profits or for your loss of data or information. You acknowledge that customers are identified using a cookie containing the affiliate's ID. These cookies have an expiration date of one year. Once a customer is registered in our database as being from an affiliate, the cookie is no longer required to identify the affiliate. wedotranslation inc. acknowledges the standard risk associated with cookie-based affiliate programs and therefore does not guarantee that it can identify all customers due to the fact that between the click on the affiliate's site and the instant of the first translation order, the customer may have formatted the computer, changed computers or cancelled the cookie, making them impossible to identify. Although this situation is rare, you, as the affiliate, acknowledge that wedotranslation inc. shall not be able to identify a customer in every case and thus is not required to pay the amount due in those cases. 14. GENERAL PROVISIONS The subject headings of the articles and sections are for convenience only, and shall not affect the construction or interpretation of any of its provisions. If any portion of this agreement is found invalid or unenforceable, that portion shall be severed and the remainder of this agreement shall remain in force. This agreement constitutes the entire agreement between us pertaining to its subject matter and supersedes all of our prior agreements, representations, and understandings. Subject to Section 14, no supplement, modification, or amendment of this agreement shall be binding unless executed in writing by both parties. No waiver of any of the provisions of this agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. This agreement may be executed in one or more counterparts. Each shall be deemed an original, but all of which together shall constitute one and the same instrument. If an organization is the subscriber, the individual signing up for our services represents that he or she is duly authorized to enter into this agreement on behalf of that organization. In the event of a dispute, the parties agree to submit the matter to the Dispute Resolution Service or recognized Arbitration Board located within Ontario, CANADA, before instituting litigation. Notification of Account Changes. You agree to provide us with such other information relating to your use of this service as we deem necessary or desirable. You agree to notify us if your address, email address, telephone number, billing information changes. 15. INDEPENDENT INVESTIGATION YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 16. MISCELLANEOUS This Agreement will be governed by the laws of Ontario, CANADA, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the courts of Ontario, CANADA, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
